Terms of service

These terms are the agreement between you and Klayno LLC when you use klayno.com or the Klayno app. Plain English on purpose; the headings are there to help you find things, not to change the meaning. Please read them: they include a disclaimer of warranties, a limitation of liability, and a Delaware choice of law and venue.

1. Who you are dealing with

The Service is provided by Klayno LLC, a Delaware limited liability company, with its principal office at 16192 Coastal Highway, Lewes, DE 19958, United States ("Klayno", "we", "us"). By creating an account, clicking to accept, or using the Service, you agree to these terms. If you accept them on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" means the entity.

2. A few definitions

  • Service: the Klayno website, the app at app.klayno.com, the installable and mobile versions, and everything they give access to.
  • Workspace: the space a customer creates in the app, with its members, settings and data.
  • Customer: the person or company that owns a workspace and is billed for it.
  • User: anyone who signs in to a workspace, including members invited by the customer.
  • Customer Data: everything a workspace's users put into it or connect to it: contacts, prospects, clients, calls, transcripts, form answers, documents, contracts, payments, messages.
  • AI credit: the unit that measures use of the AI employee. One credit is one AI action or message.

3. Your account

  • Give us accurate information and keep it up to date.
  • Keep your password and sign-in methods to yourself. You are responsible for everything that happens under your account until you tell us it was compromised.
  • The workspace owner is responsible for the members they invite, the roles they give them, and what those members do in the workspace.
  • You must be at least 18 years old, or use the Service through a business that agreed to these terms.
  • The Service is made for businesses. If you use it as a consumer, you keep any rights that the law where you live gives you and does not allow to be waived.

4. Plans, prices and billing

Klayno has four plans: Free, Pro, Business and Enterprise. What each one includes and its price are on the pricing page, which is part of these terms. Pro and Business are priced per user per month, billed monthly or annually. Enterprise is priced by quote.

  • Payment is taken by card through Stripe at the start of each billing period. Card data never reaches Klayno.
  • Prices are shown in US dollars and exclude taxes. Sales tax, VAT or similar taxes are added where they apply, and you are responsible for them.
  • Annual plans are paid up front for twelve months. Monthly plans renew automatically each month, and annual plans renew automatically each year, until you cancel.
  • You can cancel at any time from the billing settings. Your plan stays active until the end of the period you paid for. Fees are non-refundable, and we do not refund the remainder of a period, except where the law requires it.
  • If a payment fails, we retry, then email you. If it still fails after 14 days, the workspace goes back to the Free plan limits until it is paid.
  • Adding users adds seats at the plan's price for the rest of the period. Removing users takes effect at the next renewal.
  • We can change prices with at least 30 days' notice by email. The new price applies at your next renewal. If you disagree, cancel before then.
  • Free plan limits (users, contacts, pipelines, forms, booking pages, contracts per month, AI credits) are those shown on the pricing page. Public pages on the Free plan carry a Klayno badge.

5. AI credits

  • Each plan includes a monthly allowance of AI credits: 50 on Free, 1,000 on Pro, 5,000 on Business, custom on Enterprise, per the pricing page.
  • One credit is one AI action or message. Some longer jobs (a report, a bulk update) use more than one credit; the app shows the cost before it runs.
  • The allowance is added at the start of each billing month. Unused credits carry over to the following months as long as your plan stays active.
  • You can buy extra credit packs. They are charged when bought, do not expire while your account is active, and are not refundable.
  • We can adjust how many credits an action costs. If the change increases the cost of an action, we give 30 days' notice.

6. The AI employee

The AI employee reads your workspace and acts in it on your instructions. You choose its autonomy level: suggest only, ask before acting, or act and report. At the default level, anything that would leave the workspace waits for your approval. Every action is written to an activity log.

  • AI output can be wrong. Review it before you rely on it, especially contracts, numbers and anything sent to a customer. AI output is not legal, financial, tax or professional advice.
  • You are responsible for the actions you approve, and for the actions you configured to run without approval.
  • Do not use the AI employee to generate or send content that breaks section 8.
  • We use a third-party AI model provider, listed on the sub-processors page, under a contract that limits what it may do with your data.

7. Your data

  • Customer Data is yours. You grant us a limited license to host, process, back up, transmit and display it as needed to run the Service for you, and for nothing else.
  • You are responsible for having the right to put the data into Klayno, including a lawful basis for the contacts you import and the messages you send them.
  • We process Customer Data as your processor or service provider under our data processing agreement and the privacy policy.
  • You can export your data from the app at any time. After a workspace is deleted, we erase it from live systems within 30 days.
  • E-signature: agreements signed in Klayno carry an audit trail (sent, viewed, signed, IP address, timestamp) and a sealed PDF. It is your responsibility to check that this level of signature is suitable for the document you are signing and the law that applies to it.

8. Acceptable use

You agree not to:

  • Send unsolicited messages, or messages that break the anti-spam, telemarketing or consumer protection laws that apply to your recipients (including CAN-SPAM, the TCPA, and their equivalents outside the United States), through Klayno's forms, booking reminders, emails, SMS, WhatsApp or Instagram features.
  • Upload content that is illegal, defamatory, infringing, or that you do not have the right to use.
  • Break the terms of the platforms you connect (Meta, Google, Calendly, Fathom, Stripe).
  • Probe, scan or test the security of the Service without written permission. Good-faith research is welcome under the rules on the security page.
  • Copy, reverse engineer, scrape or resell the Service, or build a competing product from it.
  • Share one paid seat between several people.
  • Use the Service in a way that harms other customers, for example by overloading it.
  • Use the Service in violation of US export control or sanctions laws, or if you are located in a country or on a list subject to US sanctions.

If you break these rules we can suspend or terminate the workspace, after telling you where the risk allows it.

9. Integrations and third-party services

Integrations depend on services we do not control. If a platform changes or removes its API, the related feature can change or stop; we tell you when that happens. Payments you collect from your own clients through Stripe Connect are governed by your agreement with Stripe; Klayno is not a party to those payments.

10. Intellectual property and copyright claims

  • Klayno, its code, design, name and logo belong to Klayno LLC. These terms give you a limited, non-exclusive, non-transferable right to use the Service, not a license to anything else.
  • If you send us ideas or feedback, we can use them without owing you anything.
  • Templates and public pages you create with Klayno are yours; the Klayno badge on Free plan pages stays ours.
  • Copyright claims: if you believe content in the Service infringes your copyright, send a notice that meets the requirements of the Digital Millennium Copyright Act (DMCA) to support@klayno.com or to our mailing address in section 1, with "DMCA" in the subject line. We remove or disable access to infringing content and terminate repeat infringers.

11. Availability, support and changes

  • We aim to keep the Service available at all times but do not promise a specific uptime, except in an Enterprise agreement that says so.
  • We can change or retire features. If we remove something you pay for, we tell you at least 30 days before.
  • Features marked beta or coming soon are provided as they are, may change, and are not part of what you buy.
  • Support is by email; Pro and Business get priority. Response times are targets, not commitments.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, KLAYNO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KLAYNO AND ITS MEMBERS, OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOSS OF DATA YOU DID NOT BACK UP, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE AMOUNT YOU PAID US IN THOSE TWELVE MONTHS, OR ONE HUNDRED US DOLLARS ($100) IF YOU ARE ON THE FREE PLAN.

These limits do not apply to liability that the applicable law does not allow to be limited, such as liability for gross negligence, willful misconduct, fraud, or death or personal injury.

14. Indemnification

You will defend, indemnify and hold harmless Klayno and its members, officers and employees from any third-party claim, and the resulting damages, costs and reasonable attorneys' fees, arising from your Customer Data, your use of the Service, or your breach of these terms, including section 8. We will notify you of the claim promptly and let you control the defense, as long as you do not settle in a way that admits fault on our part without our written consent.

15. Term and termination

  • These terms apply from the moment you create an account until it is deleted.
  • You can delete your account or workspace at any time in the app, or by writing to us.
  • We can end these terms with 30 days' notice, or immediately if you materially breach them, do not pay, or if we must for legal reasons.
  • After termination you have 30 days to export your data, then we delete it as described in section 7. Sections 10, 12, 13, 14, 16 and 17 survive termination.

16. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before going to court, write to us at support@klayno.com and we will try to settle the matter informally within 30 days. If that fails, you and Klayno agree that the state courts located in Sussex County, Delaware, and the United States District Court for the District of Delaware have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service, and you consent to personal jurisdiction and venue there. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property. If you are a consumer outside the United States, you keep any mandatory rights the law where you live gives you, including the right to bring a claim there.

17. Everything else

  • These terms, the pricing page, the privacy policy, the DPA and any Enterprise order form are the entire agreement between you and Klayno about the Service and replace any earlier agreement. If they conflict, the Enterprise order form wins, then the DPA, then these terms.
  • You cannot assign or transfer your account or these terms to someone else without our written consent. We can assign them to an affiliate or to a company that acquires Klayno or its assets, and we will tell you.
  • If a clause is found unenforceable, it is limited to the minimum extent necessary and the rest still applies. Our not enforcing a clause once does not waive it.
  • We are not liable for delays or failures caused by events outside our reasonable control, such as outages of our providers, natural disasters or government action.
  • You agree to receive notices, agreements and other communications from us electronically, by email or inside the app, and that they satisfy any requirement that they be in writing.
  • Notices to you go to the email on your account. Notices to us go to support@klayno.com, or by mail to Klayno LLC, 16192 Coastal Highway, Lewes, DE 19958, United States.
  • We can update these terms. Material changes are announced by email at least 30 days before they apply; continuing to use the Service after that date means you accept them.
  • Nothing in these terms creates a partnership, joint venture, agency or employment relationship between you and Klayno.
